Seminar: Constructive Correction of Contractual Mistakes

This talk looks at Lord Hoffmann's leading speeches in the House of Lords and Privy Council on construction of contracts, including implied terms. Cases to be covered include:

  • Chartbrook v Persimmon Homes [2009] 3 WLR 267 - interpretation of contract - incorrect language used - recourse to surrounding circumstances evidence.
  • A-G of Belize v Belize Telecom [2009] 1 WLR 1988 - implied terms - 'gaps' in contract.
  • ICS v West Bromwich BS [1998] 1 WLR 896 - interpretation - incorrect syntax / language used - surrounding circumstances evidence.
  • The Starsin [2004] 1 AC 715 - interpretation of negotiable documents.
